Binding Agreement |

| 1.1 |
CS Tuition Centre website and app are provided for your use subject to the Terms. The Terms in this page form a binding agreement between You and CS Tuition Centre. By using and/or signing-up with CS Tuition Centre you agree to and are bound by the Terms.

| 1.2 |
You agree that you use CS Tuition Centre at your own risk and indemnify CS Tuition Centre of any claims.
|
| 1.3 |
In the case of any conflict(s) between these Terms and any contract formed with CS Tuition Centre, these Terms will take precedent.
|
| 1.4 |
CS Tuition Centre retain the rights to update these Terms from time to time for legal or regulatory reasons or to allow proper operations of CS Tuition Centre procedures. Any changes will be notified via e-mail or any other suitable announcement on CS Tuition Centre website or app. Should you continue your usage, this indicates your agreement to the revised Terms and will be bound by the new Terms. If you are not agreeable to the new Terms, you should cease any usage of CS Tuition Centre services.

Definitions |

“Advertiser” describes a person or entity that is contracting to post advertisement(s) or any form of promotion of CS Tuition Centre’ website.

“Design” includes the layout and colour combinations of CS Tuition Centre website and app.
|
| 2.3 |
“Student(s)” means the entity or person that is accessing to CS Tuition Centre for the purpose of tuition classes or any reason related to the purpose of seeking tuition classes by utilising one or more service(s) provided by CS Tuition Centre.

| 2.4 |
“Graphics” includes all logos, button icons and other graphical elements on CS Tuition Centre website and/or app with exception of paid advertisement.
|
| 2.5 |
“Parent(s)” and/or “Student(s)” means User who is using CS Tuition Centre website or app to get connected to Tutor(s) through service(s) provided by CS Tuition Centre.

| 2.6 |
“CS Tuition Centre” means CS BRILLIANT ENTERPRISE (PG0449894-H) or the company operating CS Tuition Centre website, app and services
|
| 2.7 |
“CS Tuition Centre Content” includes all Text, Graphics, Design, Programming, Information, Images, Video, Audio Files, Software and/or other contents used in CS Tuition Centre website and app.
|
| 2.8 |
“CS Tuition Centre Database(s)” means parents’ and/or students’ information registered with CS Tuition Centre and advertisements and/or links posted on CS Tuition Centre website and app.
|
| 2.9 |
“CS Tuition Centre Service(s)” means services provided by CS Tuition Centre such as: -
| (i) |
tuition classes provide by tutors associated with CS Tuition Centre
|
| (ii) |
obtaining updates and announcements from tutors and administrative staffs associated with CS Tuition Centre
|
|
| 2.10 |
“CS Tuition Centre Website” refer to https://CS Tuition Centre. In the event of future acquisition of additional URL(s), it will be listed here.

| 2.11 |
“Profile(s)” means profile or account created by Users including Students and/or Parents.
|
| 2.12 |
“Programming” includes both client-side code (HTML, JavaScript, etc.) and server-side code (Active Server Pages, PHP, VBScript, databases, etc.) used on CS Tuition Centre website and/or app.
|
| 2.13 |
“Text” includes all text and write-up in all pages of CS Tuition Centre website and app whether editorial, navigational or instructional.
|
| 2.14 |
“User(s)” refer to any individual or entity that uses any aspect of CS Tuition Centre website and/or app and/or services.
|
| 2.15 |
“User Content” means all information, data, text, software, photographs, graphics, audio (music, sound, etc.), video, advertisements, messages or other materials submitted, posted or displayed by Users on or through CS Tuition Centre website or app.

| 2.16 |
“You” or “you” means the person who (or the entity on behalf of whom you are representing) that is agreeing to these Terms.

| 3. |
Registration |

| 3.1 |
To register for a CS Tuition Centre profile or account, you must be at least 6 years of age or above. If you disregard the minimum age guideline and proceed to the registration of a CS Tuition Centre profile or account, you hereby indemnify CS Tuition Centre of any claims or breach of legislative regulations and by doing so, you are aware that you are in breach of the law.

You must ensure that the details provided by you on registration or sign-up or at any time are correct and complete.
|
| 3.3 |
In the event of any changes to the information provided, you are responsible to update your profile and/or personal details in order for effective communication.
|

| 4. |
Password and Security |

| 4.1 |
Upon registration or sign-up with CS Tuition Centre for a profile or account you will be requested to create a password. This password must be confidential and you must not disclose or share it with anyone to prevent fraudulent act. In the event that you suspect or know that someone else knows your password, you should change it or notify us immediately.

| 4.2 |
CS Tuition Centre retains the rights to suspend your profile or account in the event that CS Tuition Centre believes or suspects that there is a likely breach of security or misuse.
|
| 4.3 |
In the case of your loss of Password or misuse of the CS Tuition Centre website or app:-
| (i) |
all losses or damages incurred shall be borne by you; and
|
| (ii) |
you shall fully indemnify CS Tuition Centre should CS Tuition Centre suffer any loss or damage.
|

| 5. |
Intellectual Property |

| 5.1 |
CS Tuition Centre or its licensors retains exclusive rights to CS Tuition Centre website, CS Tuition Centre contents, all rights, title and interest.

| 5.2 |
CS Tuition Centre website, CS Tuition Centre Content and app are protected by copyright, trade mark, database right and other intellectual property rights.
|
| 5.3 |
Any content of CS Tuition Centre website is restricted to reproduction and you may not reproduce, modify, copy or distribute the contents of CS Tuition Centre website or app without written permission from CS Tuition Centre.

| 5.4 |
You may however retrieve and display contents of CS Tuition Centre website or app for personal and non-commercial use.

| 6. |
Availability of CS Tuition Centre Services and/or CS Tuition Centre Website and/or App |

| 6.1 |
Your access to CS Tuition Centre website or app may be restricted from time to time to allow for repairs, maintenance or upgrades. We strive and attempt to restore access and/or services in the shortest downtime as reasonably as we can.

We cannot guarantee that CS Tuition Centre website or app will be fault-free, error-free, virus-free or free of any other harmful mechanisms. We attempt to correct such faults prior to Users experiencing such faults as best as we can. However, if you should encounter any fault with CS Tuition Centre website or app, you should contact and report it to us so we may correct is as soon as we can.

We aim to offer the best service possible and diligently rectify any faults we come across. However, we make no promises or guarantees that the services availably at CS Tuition Centre website or app will meet your requirements.

Your Use of CS Tuition Centre Website and/or App |

CS Tuition Centre hereby provides you with a limited, non-exclusive and terminable right to access and use CS Tuition Centre website for your personal use and/or tuition classes purposes only

You are not allowed to use CS Tuition Centre website for any of the following purposes:-
| (i) |
copying or duplication of any CS Tuition Centre Content or information available through CS Tuition Centre website or app;
|
| (ii) |
broadcasting any unlawful, harassing, libellous, abusive, threatening, harmful, vulgar, obscene, negatively perceive material or material breaching any law;
|
| (iii) |
linkage to any CS Tuition Centre Content or CS Tuition Centre website or app;
|
| (iv) |
Interfering with other Users’ use or enjoyment of CS Tuition Centre website or app;
|
| (v) |
broadcasting or transmitting material that breaches any law, regulations or code of practice which can constitute as a criminal offence;
|
| (vi) |
creating, transmitting or copying any materials protected by copyright in CS Tuition Centre website or app in hard copy or electronically without permission from CS Tuition Centre.

| 7.3 |
You agree not to make any unauthorised commercial use of CS Tuition Centre website without any written permission.
|
| 7.4 |
You agree not to resell or assign your rights or obligations under these Terms.

| 8. |
Use of CS Tuition Centre Services |

| 8.1 |
CS Tuition Centre services may be used for the following only:-
| (i) |
Online Class Registrations for students who wish to attend tuition classes offered by CS Tuition Centre
|
| (ii) |
Communication with tutors and administrative staffs
|
| (iii) |
Advertisers.
|
|
| 8.2 |
Your use of CS Tuition Centre services may also be subjected to any other contract that you may have with CS Tuition Centre. In the event of any conflict between these Terms and any contract you may have, these Terms will prevail.

| 8.3 |
CS Tuition Centre will investigate any violation which may result in civil and/or criminal liability. In such event, CS Tuition Centre will cooperate with law enforcement authorities in prosecution of Users which are involved in the violation such laws.
|
| 8.4 |
All Users also shall agree not to:-
| (i) |
distribute, post, transmit or destroy any materials in CS Tuition Centre that may violate and applicable law or regulation;
|
| (ii) |
violate or attempt to violate the security of CS Tuition Centre website or app;
|
| (iii) |
reverse engineer or decompile any parts of CS Tuition Centre website or app;
|
| (iv) |
post any content or material that may facilitate, promote or endorse scams, false or misleading information, illegal activities or endorses or provide information or instructions about illegal activities or other activities prohibited by these Terms or law;
|
| (v) |
create a profile, account on behalf of another individual;
|
| (vi) |
create an Parent account on behalf of another parent without the consent of the particular parent;
|
| (vii) |
share with a third party the login details of CS Tuition Centre website or app account;
|
| (viii) |
breaking-in or illicit access to data not intended for you or logging into a server or account that you are not authorised to access;
|
| (ix) |
provide or submit inaccurate, incomplete, misleading, false, not up to date, biographical information or information that is not your own on CS Tuition Centre website or app;
|
| (x) |
post content that contains restricted or password-only access pages or hidden pages or images;
|
| (xi) |
solicit passwords or personal identification information from other Users;
|
| (xii) |
delete or alter any material or information posted by other Users or entity or persons;
|
| (xiii) |
harass or incite harassment of any individual, company or group;
|
| (xiv) |
send unsolicited mail or email, make unsolicited phone calls or send unsolicited messages promoting and/or advertising products or services to any Users;
|
| (xv) |
attempt to interfere with service to any User, host or network including but not limited to “spamming”, “flooding”, DDOS attack, overloading or submitting a virus to CS Tuition Centre website or app;
|
| (xvi) |
use of CS Tuition Centre services for unlawful purposes or illegal activity, post or submit any content, profile or account that is defamatory or fake, libellous, implicitly or explicitly offensive, vulgar, obscene, ,threatening, harassing, hateful, abusive, discriminatory, racist, menacing, likely to cause annoyance, inconvenience, embarrassment, anxiety or could cause harassment to any person or including links to pornographic, indecent, sexually explicit material of any kind, political or religious views or any negative content which may be deemed offensive by CS Tuition Centre’ discretion; and

| 10.1 |
CS Tuition Centre hereby grants you a limited, terminable and non-exclusive right to access and use CS Tuition Centre and/or app only for your own personal use with the intention of tuition classes and receiving class materials through the website and/or mobile app.

| 10.2 |
Upon signing-up or registration with CS Tuition Centre website or app, you will be requested to create an account and provide certain information including a valid email and handphone number (contact number).
|
| 10.3 |
Any CS Tuition Centre Profile created by you must be accurate, complete, up-to-date and not misleading. All fields must be completed by yourself. You may not impersonate another person, living or dead nor fictional.

| 10.4 |
You acknowledge that you are solely responsible for the information, content, detail or materials provided in your profile.
|
| 10.5 |
You also acknowledge that you are solely responsible for any consequences arising from such posting.
|
| 10.6 |
CS Tuition Centre reserves the right to offer third party services and products to you based on your preferences that you specify in your profile at any time. Such offers may be made from CS Tuition Centre or third parties affiliated with CS Tuition Centre.

| 10.7 |
For further information regarding to details in the usage of your information, please refer to CS Tuition Centre’ Privacy Policy. CS Tuition Centre reserves the rights to comply or at its sole discretion with legal requirements, requests from law enforcement agencies or government entities. Third party(ies) may also retain cached or hard copies of your information.

You also understand, acknowledge and agree that you have no ownership rights in your account and that if you cancel your CS Tuition Centre account or if your CS Tuition Centre account is terminated, all information in your profile will be deleted from CS Tuition Centre’ databases. Information may continue to be available for a period of time because if delays in propagating such deletion from CS Tuition Centre’ database. However, third party(ies) may still retain a saved copy of your information.

CS Tuition Centre reserves the right to delete your account at CS Tuition Centre discretion due to the following but not limited to, extended inactivity, false information in profile, sexual content in profile, vulgarity or threatening nature in profile or in breach of any clauses in these Terms.

| 11. |
User Content and Submissions |
|
| 11.1 |
You understand that all User Content is solely the responsibility of the person, individual or entity from which such content originated.
|
| 11.2 |
You understand, acknowledge and agree that all information provided by you in your CS Tuition Centre account and/or profile shall be stored in CS Tuition Centre databases.
|
| 11.3 |
You understand, acknowledge and provide consent that all information provided by you may be transferred to countries outside of your location by CS Tuition Centre or third party(ies) for storing and/or processing. You may refer to the Privacy Policy for more details.
|
| 11.4 |
If you post your details in any public area in CS Tuition Centre website or app, you also permit any other Users to access, view, store and/or reproduce your content.
|
| 11.5 |
By submitting, posting or displaying User Content on or through CS Tuition Centre website or app, you grant CS Tuition Centre, subject to your privacy setting, a global, non-exclusive, royalty-free license to reproduce, adapt, distribute and publish such User Content. CS Tuition Centre will discontinue the use of such content within a reasonable period upon removal of such User Content from CS Tuition Centre website or app. CS Tuition Centre however reserves the right to refuse to accept, post, display or transmit any User Content at its sole discretion.

CS Tuition Centre may review and remove any User Content as its sole discretion if it violates any of these Terms, the applicable laws, rules or regulations, abusive, disruptive, offensive, illegal or violates the rights of, harms or threatens the safety of other Users of CS Tuition Centre. CS Tuition Centre may also remove the User Content if it believes the content could create a liability for CS Tuition Centre ie. Damaging its brand name or public image or cause the loss of Users.

CS Tuition Centre does not represent or guarantees the accuracy, truthfulness and reliability of the User Content(s). CS Tuition Centre also do not endorse any opinions expressed by Users. You hereby acknowledge that any reliance of the material or information posted or provided by other Users will be at your own risk and discretion.

| 13. |
CS Tuition Centre’ Right to Suspend, Cancel or Terminate Your Registration |
|
| 13.1 |
We may suspend, cancel or terminate your registration at our reasonable discretion or if you breach any of these Terms without notice.
|
| 13.2 |
You may cancel your registration at any time by informing us in writing. If you do so, you must cease to CS Tuition Centre website or app.
|
| 13.3 |
The suspension or cancellation of your registration shall not affect either party’s statutory rights or liabilities.
|
|

| 14. |
Terms and Termination |

| 14.1 |
These Terms will be in full effect while you are a user of CS Tuition Centre website, app or CS Tuition Centre’ services.

| 14.2 |
CS Tuition Centre reserves the right to pursue all legal remedies, including but not limited to removal of your User Content from CS Tuition Centre website and/or app and termination of your registration, user account and or ability to access any of CS Tuition Centre’ services upon breach of any of these Terms.

| 14.3 |
Provisions of these Terms in Section 5, 14, 15, and 16 will remain in effect even after you are no longer a User of CS Tuition Centre website or app.

Disclaimers |

CS Tuition Centre shall not be liable for any loss of information no matter what as a result of any interruption(s), suspension or termination of CS Tuition Centre services or for the quality or accuracy of CS Tuition Centre content and/or profile available or transmitted through CS Tuition Centre website and/or app and/or services.

You acknowledge and agree that it is not CS Tuition Centre’ policy to exercise editorial control over and to edit or amend any data or content or postings or any information that may be inserted or made available or from a third party in or through CS Tuition Centre website and/or app and/or services.

Indemnity |

These Terms shall be subject to the laws of Malaysia.

We will try to solve any disagreement quickly and efficiently. If you are not satisfied with the way we deal any disagreement and you want to take court proceedings, you must do so within Malaysia.

International Use |

We make no promise that materials on CS Tuition Centre website is suitable or appropriate for use in your location, and accessing from territories where its contents are illegal or unlawful is prohibited. If you choose to access CS Tuition Centre website from your location, you do so at your own understanding, initiative and are responsible for compliance with local laws.

Miscellaneous |

You are not allowed to transfer any of your rights under these Terms to any other person or entity. We may transfer our rights under these Terms to another business where we reasonably believe your rights will not be affected.

If you choose to ignore these Terms and breach these Terms, CS Tuition Centre will still be entitled to use its rights and remedies at a later date or in any other situation where you breach the Terms.

CS Tuition Centre shall not be responsible for any breach of these Terms caused by circumstances beyond its reasonable control.

If any of these Terms shall be found by any court or administrative body of competent jurisdictions to be invalid or unenforceable, the invalidity or unenforceability of such provisions shall not affect the other provisions of these Terms and all provisions not affected by such invalidity or unenforceability shall remain in full force and effect.

CS Tuition Centre have taken reasonable steps to complied and will continue to comply with its obligations as data processing arising from the data protection and privacy laws in force from time to time. CS Tuition Centre have also taken reasonable administrative, technical and physical measure to protect at best the confidentiality and availability of these Confidential Information against unauthorised, unlawful or accidental access, disclosures, transfer, alteration, loss and destruction. The term Confidential Information will not however include any information that identifies or directly relates to the individual (“Personal Data”). Each part will exercise commercially reasonable efforts not to disclose any Personal Data to other party and to restrict the other party’s access to its Personal Data. However, in the event that a party is given access to the other party’s Personal Data, the receiving party will protect such Personal Data using reasonable standard of care.
